Datarails Artificial Intelligence (AI) Terms

At Datarails, we believe artificial intelligence should be used responsibly, safely, and in ways that respect individuals’ rights and applicable laws. These Artificial Intelligence Terms of Service (the “AI Terms“) govern your access to and use of Datarails’ AI-powered products and tools (the “AI Functions“), as well as your use of the Services in connection with third-party artificial intelligence tools or models integrated with the Services. These AI Terms are incorporated by reference into Datarails’ Terms of Service (the “Terms of Service“). If you do not agree with these AI Terms, you should refrain from using the AI Functions.

We may update this AI Terms from time to time to reflect changes in law, regulation, or the functionality of the Service. If we make material updates, we will post the updated version on our website.

1. AI Functions

Datarails’ AI Functions are integrated into Datarails’ Services and use Artificial Intelligence technologies, including Large Language Models and Optical Character Recognition, to analyze financial and operational data. These capabilities are designed to assist organizations in:

• extracting and analyzing financial data
• identifying patterns within large datasets
• supporting financial planning and analysis workflows

The AI Functions are intended to assist users, but they do not replace professional judgment.

Unless explicitly stated otherwise, AI Content is not used to train general-purpose AI models.

The AI Functions generate Outputs using automated artificial intelligence technologies. You acknowledge that such Outputs are generated by artificial intelligence systems and may require human review before use.

2. AI Content

2.1. When using the AI Functions, you may provide input text, images, spreadsheets, PDF files, or other data (“Input“) and, following an analysis process, the AI Functions responses or analyses based on that Input (“Output“). Together, Input and Output are referred to as “AI Content“.

2.2. By inputting the Input to the AI Functions, you acknowledge that: (1) you have all legal right and title to the Input; and (2) the Input does not violate any law or third-party rights. You retain ownership of your AI Content.

2.3. Datarails may process AI Content and share it with service providers solely as necessary to provide the AI Functions in accordance with our Privacy Policy.

2.4. Datarails exclusively owns all right, title, and interest in and to the AI Functions, including all associated intellectual property rights. No license or other rights (express or implied) in or to the AI Functions are granted, assigned, licensed, or conveyed to you.

3. Your Consent, Acknowledgement and Responsibilities

By using the Datarails AI Functions, you:

3.1. Expressly consent to the use of artificial intelligence (AI) features as part of Datarails’ Services. You acknowledge and agree that Datarails may collect, store, and process AI Content, which may include personal data, as necessary to provide the AI Functions within the Services. AI Content may also be accessed by Datarails engineers if you request support or assistance.

3.2. Represent and warrant that you have obtained all necessary rights, consents, and authorizations required to use the AI Functions with respect to the Input, including notifying individuals of the use of AI Functions and obtaining their consent where required by applicable law. You further confirm that you have secured all rights necessary to permit Datarails to process the Input in order to provide the Services and generate the Output.

3.3. You are responsible for any AI Content you provide or generate and must ensure that such AI Content: (i) complies with these AI Terms and the Terms of Service; (ii) complies with all applicable laws and regulations; (iii) does not infringe, violate, or misappropriate the rights of Datarails or any third party, including intellectual property rights; and (iv) is free from any adverse claims or third-party rights.

3.4. You acknowledge that your use of the AI Functions and reliance on any Output is at your own risk. Due to the probabilistic nature of artificial intelligence systems, Outputs may contain inaccuracies, omissions, or misleading information. You are responsible for reviewing and evaluating Outputs for accuracy and appropriateness before relying on them.

3.5. You remain solely responsible for any business, financial, operational, or other decisions made based on Outputs. The AI Functions are intended to assist users and do not constitute financial, accounting, tax, legal, or other professional advice, nor are they intended to replace human judgment. You are responsible for exercising appropriate human review and oversight when relying on Outputs generated by the AI Functions.

3.6. You acknowledge that Datarails may disclose AI Content to law enforcement or other governmental authorities, or in response to a valid legal request or court order, where such content is alleged to be unlawful or in breach of these AI Terms.

3.7. You grant Datarails the right to host and process AI Content on its platform for the purposes of providing the AI Functions, complying with applicable laws, enforcing Datarails’ policies, and maintaining the security and integrity of the Services. Where applicable, the hosting location of AI Content will correspond to the customer’s designated data hosting region.

4. Responsible Use of AI

By using the AI Functions, you agree to use them responsibly and in compliance with these AI Terms, the Terms of Service, and all applicable laws and regulations. You agree not to intentionally generate harmful content or use any Output in a harmful, unlawful, or misleading manner.

All limitations that apply under the Terms of Service also apply to your use of the AI Functions. In particular, you agree not to use the AI Functions to:

• mislead anyone into believing that AI-generated content is human-generated;
• generate harmful, misleading, deceptive, or unlawful content;
• generate spam, malware, ransomware, viruses, disinformation, or other malicious software;
• intentionally circumvent safety features, safeguards, or functionality of the AI Functions or prompt the models to act in a manner that violates these AI Terms or the Terms of Service;
• provide medical, legal, financial, or other regulated professional advice;
• violate the privacy or other rights of individuals, including through unlawful tracking, monitoring, identification, or by depicting a person’s voice or likeness without their consent;
• harass, harm, or encourage harm toward individuals or groups;
• generate or disseminate information intended to interfere with the administration of justice or other legal processes; or
• perform automated decision-making that produces legal or similarly significant effects concerning individuals, unless such use complies with applicable law, in which case you acknowledge that such use is undertaken at your own risk.

You further agree to use the AI Functions in compliance with all applicable laws and regulations relating to artificial intelligence and automated decision-making.

5. Third-Party AI Systems

5.1. Third-Party AI Providers Used by Datarails. Certain AI capabilities within the Services may rely on third-party AI providers. Where such third-party systems are used: they may process AI Content as necessary to generate Outputs; and their processing is subject to applicable contractual and privacy protections.

5.2. Customer Integration with Third-Party AI Systems. If Customer connects, integrates, or uses the Services in conjunction with any third-party artificial intelligence systems, models, or tools that are not provided by Datarails (including, for example, customer-hosted models or third-party AI platforms), Customer is solely responsible for such integration, for determining what data is shared with such systems, and for any processing of data performed by those systems.

Datarails does not control and is not responsible for the operation, outputs, security, or data practices of such third-party AI systems. Customer is responsible for ensuring that its use of such systems complies with applicable laws, internal policies, and contractual obligations.

6. Prohibited AI Model Training

You may not use the AI Functions, the Services, or any Outputs to:

• train
• fine-tune
• develop
• improve

any artificial intelligence or machine learning systems that compete with or replicate the Services.

7. Disclaimer of Warranties

Datarails is constantly working to improve its Services in order to make them more accurate, reliable, safe, and beneficial. However, given the nature of artificial intelligence and machine learning technologies, the AI Functions may in some cases generate inaccurate, incomplete, or misleading Outputs. Outputs generated by the AI Functions are produced automatically and are not individually reviewed or verified by Datarails. While Datarails undertakes reasonable efforts to evaluate and improve the performance, reliability, and quality of the artificial intelligence technologies integrated into its Services, such Outputs may still contain inaccuracies, omissions, or unintended results.

Datarails makes no warranty or guarantee as to the accuracy, completeness, reliability, or fitness for a particular purpose of any Output generated through the AI Functions, nor regarding whether the Output may infringe any third-party rights or may be lawfully used in all circumstances, and shall not have any liability or responsibility arising in any way regarding the Output or any omissions or errors contained in the Output.

For the avoidance of doubt, Datarails does not control, review, or assume responsibility for the performance, behavior, or Outputs of any third-party artificial intelligence tools or models that are connected to or used in conjunction with the Services by the Customer.

THE AI FUNCTIONS ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, DATARAILS EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, TITLE, NON-INFRINGEMENT, AND FITNESS FOR A PARTICULAR PURPOSE, AS WELL AS ANY WARRANTIES REGARDING THE SECURITY, SUITABILITY, RELIABILITY, AVAILABILITY, TIMELINESS, ACCURACY, OR PERFORMANCE OF THE AI FUNCTIONS.

DATARAILS DOES NOT WARRANT THAT: (i) the AI Functions will meet your requirements; (ii) the AI Functions will operate uninterrupted, timely, secure, or error-free; (iii) the results or Outputs generated by the AI Functions will be accurate, complete, or reliable; or (iv) any errors in the AI Functions will be corrected.

YOU ACKNOWLEDGE AND AGREE THAT DATARAILS IS NOT RESPONSIBLE FOR ANY ACTIVITIES, DECISIONS, OR LEGAL CONSEQUENCES RESULTING FROM YOUR USE OF THE AI FUNCTIONS OR RELIANCE ON ANY OUTPUT, INCLUDING ANY CLAIM MADE BY A THIRD PARTY ARISING FROM SUCH USE. You remain responsible for making your own business decisions and for determining the appropriateness of the AI Functions for your specific use case and needs.

Datarails reserves the right, at its sole discretion and without prior notice, to modify, suspend, or discontinue any or all AI Functions. You acknowledge and agree that you shall have no claims against Datarails arising from such modification, suspension, or discontinuation. Nothing in this section shall exclude or limit any warranty or liability to the extent that such exclusion or limitation is prohibited by applicable law.

8. Limitation of Liability and Indemnity

The limitations of liability set forth in the Terms of Service shall apply in full to the use of the AI Functions and any Outputs generated through them.

Without limiting the foregoing, Datarails shall not be liable for any loss, damage, liability, cost, or expense arising out of or related to the use of, misuse of, inability to use, or reliance upon the AI Functions or any Outputs generated by them.

You agree to defend, indemnify, and hold harmless Datarails, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, damages, liabilities, losses, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (i) your use of the AI Functions; (ii) your violation of these AI Terms or the Terms of Service; or (iii) your infringement or violation of any third-party rights, including intellectual property or privacy rights, in connection with your use of the AI Functions or any Output.

9. Removal Requests

To the extent that any AI Content is stored by Datarails, Datarails may, in its sole discretion, respond to requests to remove such content (for example, in connection with alleged intellectual property infringement). Where feasible and taking into account technical limitations, Datarails may make reasonable efforts to remove the relevant AI Content in whole or in part and may notify you of any actions taken in response to such request.
